Hereinafter referred to as ‘ASSIGNEE’ (which expression shall wherever the context so requires shall mean and include all their Successors, Legal Heirs, Representatives, Executors, Agents, and Assigns etc.,)of the OTHERPART;
WHEREAS, the Vendors /Confirming Parties are the Owners of all that piece and parcel of the Residentially Converted l and bearings. No.51/1, measuring1Acre 34 Guntas, situated at Akkupete Village, Kasaba Hobli, Devanahlli Taluk, Bangalore Rural District, which is more fully
described in Item No.1 of the Schedule ‘A’ hereunder and hereinafter called as the Item No.1 of the Schedule‘ A’ Property.
WHEREAS, the Vendors /Confirming Parties are also the Owners of all that piece and parcel of the Residentially Converted lands bearing Sy.No.52, measuring 39 Guntas and Sy.No.54/1, measuring 23 Guntas, situated at Akkupete Village, Kasaba Hobli, Devanahlli Taluk, Bangalore Rural District, which are more fully described in Item No.2 of the Schedule ‘A’ hereunder and here in after called as theItemNo.2oftheSchedule‘A’Property.
WHEREAS, the Properties described in the Schedule as Item Nos.1 and 2 are together form onecontiguouspieceoflandandhereinafterreferredtoastheSchedule‘A’Property.
WHEREAS, the above said lands are converted from Agricultural to Non Agricultural Residential Purposes vide Official Memorandum dated 23/05/2005, bearing No.ALN.(D)SR.20/2005-06, issuedby the Deputy Commissioner, Bangalore Rural District.
WHEREAS, the in order to develop the Item No.1 of Schedule ‘A’ Property in to a Multi Storied Residential Apartments and the Item No.2 of Schedule ‘A’ Property in to Row Houses and Villas,theVendors/ConfirmingPartiesandthePromoter/ConfirmingPartyhaveenteredintoaregistered Joint Development Agreement dated 13/10/2014, registered as document No.DNH-1-05200/2014-15,inBoo-I,storedinCDNo.DNHD422,intheOfficeoftheSub-Registrar,Devenahalli, Bangalore, and the Vendors/Confirming Partie shave also executed a General Power of Attorney dated 13/10/2014, registered as document No.DNH-4-00688/2014-15, in Book-IV, stored in CD No.DNHD422 in the Office of the Sub-Registrar, Devenahalli, Bangalore, authorizing and empowering the Promoter/Confirming Party to Develop the Schedule ‘A’ Property into a Multi Storied Residential Apartment Buildings and Villas/Row Houses as per the Terms of the said Joint Development Agreement.
WHEREAS, in terms of the above said Joint Development Agreement and General Power of Attorney executed the Promoter/Confirming Party has commenced the construction of the Residential Apartment Building over the Item No.1 of the Schedule “A’ Property upon obtaining a sanctioned Building Plan from the BIAAPA and Town Municipal council, Devanahalli, bearing No.De.PU.KP.CR/31 dated 16/05/2017 and License dated 17/05/2017 bearing NO.DHL-BL-11-2017-18, comprising of Two Blocks, viz, Block ‘A’ with Basement, Stilt, Ground+10 Upper Floors& Terrace and Block ‘B’ with Basement, Stilt, Ground+9 Upper Floors & Terrace in Item No.1 of the Schedule ‘A’ Property and Seven Nos .of 3 BHK Duplex Villas in Item No.2 of the Schedule ‘A’ Property together with other common amenities under the name and Style “KRISHNAJANORTHCITY”.
WHEREAS, the Vendors/Confirming Parties and the Promoter/Confirming Party have entered in to the Deed of Declaration dated 12/10/2017, registered document No.DNH-4-00462/2017-18, in Book-IV, stored in CD NO.DNHD650, in the Office of the Sub Registrar, Devanahalli
,Bangalore, in order to earmark/allocate their respective share of Undivided share in the land and Super built up area and car parking areas in the project“KRISHNAJANORTHCITY” in terms so theJoint Development Agreement.
WHEREAS, in terms of the above said Deed of Declaration Flat No. B-804, in the Eighth Floor of ‘B’ Block, admeasuring 885 sq. feet (82.21 sq mtr) super built up area, (i.e., 593 Square feet(55.09 sqmtr) of Carpet area, 63.29 Square feet (5.87 sqmtr) of exclusive Balcony area, 64.58sqft (6.00 sqmtr) of wall area and 165.83Square feet (15.40 sqmtr) of common area) with One Covered Car Parking in the Stilt Floor, in the Apartment building known as “KRISHNAJANORTHCITY” to be constructed on the Item No.1 of the Schedule ‘A’ property is fallen to the share of the Promoter/Confirming Party herein.
WHEREAS, the Project is registered with the Karnataka Real Estate Regulatory Authority at Bengaluru, Karnataka, India on 21/05/2018 vide registration no. PRM/KA/RERA/1250/303/PR/180521/001765.
WHEREAS, the ASSIGNOR above named being desirous of owning a Flat in the Apartment building known as “KRISHNAJA NORTHCITY” developed by Promoter/Confirming Party here in ,joined the scheme of ownership of residential apartments in the said project and the ASSIGNOR have entered into Agreement to Sell dated 21.08.2021 hereinafter referred to as the Principal Agreement, agreeing to purchase 295Sq.feet(27.40sqmtr)of Undivided share in the Schedule ‘A’ Property together with a Flat No.B-804, in the Eighth Floor of ‘B’ Block, admeasuring 885 sq. feet (82.21 sqmtr) super built up area, (i.e., 593Square feet (55.09 sqmtr) of Carpet area, 63.29 Square feet (5.87 sqmtr) of exclusive Balcony area, 64.58 sqft (6.00sqmtr) of wall area and 165.83Square feet (15.40 sqmtr) of common area) with One Covered Car Parking in the Stilt Floor, in the Apartment building known as “KRISHNAJA NORTHCITY” to be constructed on the Item No.1 of the Schedule ‘A’ property .Undivided share is more fully described in the Schedule ‘B’ hereunder and the Flat details are more fully described in the Schedule ‘C’ hereunder.
WHEREAS, in terms of the Principal Agreement the PROMOTER/CONFIRMING PARTY here in had agreed to sell the Schedule ‘B’ undivided share and the Schedule ‘C’ Flat to the ASSIGNOR and the ASSIGNOR had agreed to Purchase the Schedule ‘B’ undivided share and the Schedule ‘C’ Flat for a total cost of Rs. 33,33,000/- (Rupees Thirty-three Lakhs and Three-three Thousand Only)inclusive of applicable GST.
WHEREAS, the ASSIGNOR has paid a sum of Rs. 33,33,000/- (Rupees Thirty-three Lakhs and Thirty-three Thousand Only) being the sale consideration and the PROMOTER/CONFIRMING
PARTY acknowledges the receipt of the said sums from the ASSIGNOR.
WHEREAS, the ASSIGNOR is now no longer interested in owning the Schedule ‘C’ Flat and hence is desirous of disposing off his right, title and interest in the Schedule ‘B’ and Schedule ‘C ’Properties acquired in terms of the Principal Agreement and the ASSIGNEE above named being desirous of owning the Schedule ‘B’ Property and Schedule ‘C’ Flat have agreed to purchase ASSIGNOR’s right, title and interest in the Principal Agreement and the PROMOTER/CONFIRMING PARTY has given its consents for the ASSIGNOR to transfer/assign his rights under the Principle Agreement and accordingly the ASSIGNOR and the ASSIGNEE have entered in to this Assignment Agreement.
NOW THIS AGREEMENT OF ASSIGNMENT WITNESS FOLLOWS:
1. The ASSIGNOR above named has offered to assign his right, title and interest acquired by him under the Principal Agreement in favour of the ASSIGNEE free from all encumbrances for a total consideration amount of Rs. 33,33,000/- (Rupees Thirty-three Lakhs and Thirty-three Thousand Only).
2. The ASSIGNEE have paid a sum of Rs.33,33,000/- (Rupees Thirty-three Lakhs and Thirty-three Thousand Only)to the ASSIGNOR in the following manner
[a] Rs. 5,00,000/- (Rupees Five Lakh Only) thought Online Transfer bearing reference no. SBIN42111137514, dated 21.04.2021, State Bank of India;
[b] Rs. 5,00,000/- (Rupees Five Lakh Only) thought Online Transfer bearing reference no. SBIN42111329709, dated 21.04.2021, State Bank of India;
[c] Rs. 5,00,000/- (Rupees Five Lakh Only) thought Online Transfer, dated 23.04.2021, State Bank of India;
[d] Rs. 10,00,000/- (Rupees Ten Lakh Only) thought Online Transfer bearing reference no. SBIN421114370629, dated 24.04.2021, State Bank of India;
[e] Rs. 4,00,000/- (Rupees Four Lakh Only) thought Online Transfer, dated 26.04.2021, State Bank of India;
[f] Rs. 2,00,000/- (Rupees Two Lakh Only) thought Online Transfer, dated 15.08.2021, State Bank of India;
[g] Rs. 2,00,000/- (Rupees Two Lakh Only) thought Online Transfer, dated 16.08.2021, State Bank of India;
[h] Rs. 33,000/- (Rupees Thirty-three Thousand Only) thought Online Transfer, dated 03.05.2024,
The receipt of the above sum has been acknowledged by the ASSIGNOR.
3. The ASSIGNOR hereby confirm and declare that he has not violated any terms and conditions of the Principal Agreement and the Principal Agreement is valid, subsisting and binding between the parties therein and that he has not created any right or charge in favour of any third parties nor has encumbered his right in favour of any third party/ies. In case of any such charge or encumbrance, the ASSIGNEE shall be entitled to call upon the ASSIGNOR to discharge such charge,encumbrance or right at the cost of the ASSIGNOR
4. The ASSIGNEE hereby assures and covenants that they shall observe and adhere to all the terms, conditions, covenants and obligations detailed in the Principal Agreement and that they shall bound by all such terms, conditions, covenants and obligations as if the Principal Agreement is executed by them.
5. The ASSIGNOR hereby declares and confirms that by virtue of this Assignment Agreement he has irrevocably extinguished all his rights, title and interest in the Schedule ‘B’ and Schedule ‘C’ Properties in favour of the ASSIGNEE and the ASSIGNEE are entitled to get the Sale Deed executed and registered in his name from the PROMOTER/ CONFIRMING PARTY, in which ASSIGNOR shall join as a Confirming Party if required. The ASSIGNEE shall bear the Stamp duty ,registration fees and other charges applicable for the registration of the Sale deed in the in favour.
6. The PROMOTER/ CONFIRMING PARTY has consented for the Assignment of ASSIGNOR’ s rights, title and interest in the Principle Agreement in favour of the ASSIGNEES and has agreed to hand over the possession of the Schedule ‘C’ apartment to the ASSIGNEES and in token there of the PROMOTER/ CONFIRMING PARTY has executed this Agreement as a CONFIRMINGPARTY.
7. The ASSIGNORS have handed over the originals copies of the Principal Agreement, receipt shaving paid the Sale consideration, Cost of Construction, Cost towards water and Electricity, Car Park charges ,and GST etc ,to the ASSIGNEES.
8. This Agreement is drawn in duplicate, the original shall be retained by the ASSIGNEES and the duplicate shall be retained by the ASSIGNOR and photo copy of the same with the PROMOTER/CONFIRMING PARTY
